TournyFlex Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your") and TournyFlex LLC ("TournyFlex," "we," "our," "us") regarding your access to and use of the TournyFlex website (tournyflex.com), mobile applications, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 13 years old to use the Service. By using the Service you represent that you meet this age requirement.

2. Description of Service

TournyFlex is a software platform for recording golf scores, organizing outings, leagues, and other golf events, viewing leaderboards, calculating informal handicap-style metrics (the "TournyFlex Index"), and tracking participation in side games and group competitions. The Service is provided through a mobile progressive web application and a web application accessible at tournyflex.com.

The Service is intended for both personal use (recreational golfers) and internal business use (golf courses, event organizers, and similar organizations).

3. Account Registration

To access most features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities under your account

You may create an account using phone verification (one-time SMS code) or email and password, depending on your account type. Account types include Player, Course Administrator, and Organization Administrator, each with different capabilities described in the Service.

We reserve the right to suspend or terminate any account that violates these Terms.

4. Subscriptions, Payments, and Fees

The Service offers paid subscription tiers, per-player event and round fees collected from event organizers, and advertising opportunities for golf courses.

Payment Processing. Payments are processed by third-party processors including Stripe and PayPal. TournyFlex does not store full payment card details on its servers. By submitting payment information, you authorize us (and our processors) to charge your selected payment method.

Automatic Renewal. Subscriptions renew automatically at the interval selected at signup (monthly or annual) unless cancelled before the renewal date. You are responsible for keeping your payment information current.

Pricing Changes. We may change subscription pricing with at least 30 days' notice to existing subscribers. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

5. Free Trial

We may offer a free trial of paid subscription features for up to seven (7) days. At the end of the trial period, your subscription will automatically convert to a paid subscription at the then-current rate unless you cancel before the trial expires. We reserve the right to modify or discontinue free trials at any time.

6. Cancellation and Refunds

Cancellation. You may cancel your subscription at any time by logging into your account and navigating to Profile → Manage Subscription, OR by contacting us at admin@tournyflex.com. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until then.

Refunds. Refunds for partial billing periods are not provided except where required by applicable law. We reserve the right to issue goodwill refunds at our sole discretion on a case-by-case basis.

7. License to Use the Service

Subject to your compliance with these Terms, TournyFlex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You may not:

  • Sublicense, sell, lease, rent, or otherwise transfer your access to the Service or your account
  • Modify, adapt, reverse-engineer, decompile, or attempt to derive source code from the Service
  • Use the Service to develop a competing product
  • Use any automated means (bots, scrapers, crawlers) to access the Service except as expressly permitted

8. User Content

The Service allows you to submit, upload, post, or otherwise transmit content, including but not limited to display names, profile information, golf scores, attestations, event and league names, friend invitations, and (where supported) profile images linked from third-party accounts ("User Content").

You retain ownership of your User Content. By submitting User Content, you grant TournyFlex a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not infringe any third party's intellectual property, privacy, or other rights
  • Your User Content does not violate any applicable law or these Terms

9. Prohibited Activities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Use the Service to advertise or offer to sell goods or services to other users (this restriction does not apply to authorized event organizers setting up paid events through the Service)
  • Sell, lease, transfer, or otherwise relinquish your account or profile to another person
  • Use the Service to facilitate, settle, or otherwise process wagering or gambling funds between users
  • Submit false or manipulated scores, or attest scores you did not personally witness, with intent to alter another user's handicap, index, or competitive standing
  • Extract, scrape, resell, or redistribute course data obtained through the Service outside of personal use
  • Impersonate any person or misrepresent your affiliation with any person or organization
  • Harass, threaten, abuse, or harm other users
  • Upload viruses, malware, or any other malicious code
  • Interfere with or disrupt the Service or its security
  • Attempt to gain unauthorized access to any account, system, or network
  • Use the Service to send unsolicited communications, spam, or chain messages
  • Reverse-engineer, decompile, or attempt to derive source code from the Service
  • Use any automated means (bots, scrapers, crawlers) except those expressly authorized

We reserve the right to investigate and take appropriate action against any violation, including suspension or termination of your account.

10. Intellectual Property

The Service, including all software, code, design, text, graphics, logos, and trademarks ("TournyFlex IP"), is owned by TournyFlex LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the TournyFlex IP except for the limited license described in Section 7.

If you believe any User Content on the Service infringes your copyright, please notify us at admin@tournyflex.com with sufficient information to identify the work and the allegedly infringing content. We will respond to valid notices in accordance with applicable copyright law.

11. Third-Party Services and Links

The Service may include links to, integrations with, or content from third-party websites and services (including but not limited to Stripe, PayPal, Twilio, Supabase, Netlify, Mapbox, Google Maps Platform, Resend, golf course data providers, app store providers, and social media platforms). TournyFlex does not control these third parties and is not responsible for their content, terms, or privacy practices. Your use of any third-party service is governed by that service's terms and policies.

12. Termination

By You. You may terminate your account at any time by following the procedure described in Section 6 (Cancellation) or by contacting us at admin@tournyflex.com.

By Us. We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms.

Effect of Termination. Upon termination, your right to access the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Sections 7, 8, 9, 10, 13, 14, 15, 16, 17, 18, 19, 20, and 21) will survive.

We may retain certain data after termination as described in our Privacy Policy.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOURNYFLEX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS HOSTING IT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ACKNOWLEDGE THAT GOLF SCORES, HANDICAP CALCULATIONS, AND OTHER METRICS PRODUCED BY THE SERVICE ARE BASED ON USER-ENTERED DATA AND MAY CONTAIN ERRORS. YOU ARE RESPONSIBLE FOR VERIFYING THE ACCURACY OF SCORES AND METRICS YOU RELY ON.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOURNYFLEX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO TOURNYFLEX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless TournyFlex LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third party's rights, including intellectual property or privacy rights
  • Any wagering or financial settlement between you and other users conducted outside the Service

16. Time Limitation on Claims

YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUED, OR IT WILL BE PERMANENTLY BARRED.

17. Dispute Resolution

Informal Negotiation. Before initiating any formal proceeding, you agree to first contact us at admin@tournyflex.com and attempt to resolve the dispute informally. You and TournyFlex agree to negotiate in good faith for at least thirty (30) days before commencing arbitration.

Binding Arbitration. If informal negotiation does not resolve the dispute, any claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by a recognized arbitration provider (such as the American Arbitration Association) under its then-current commercial arbitration rules.

Venue. Arbitration shall take place in Kenosha County, Wisconsin, United States. Each party shall bear its own costs of arbitration unless the arbitrator determines that the fees are unreasonably burdensome for one party, in which case TournyFlex agrees to pay the excessive portion of those fees.

Class Action Waiver. YOU AND TOURNYFLEX AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Court Jurisdiction. If a dispute proceeds to court rather than arbitration (for example, claims excluded from arbitration by law), the parties consent to the exclusive jurisdiction of the state and federal courts located in Kenosha County, Wisconsin.

18. Governing Law

These Terms are governed by and construed under the laws of the State of Wisconsin, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19. Modifications to These Terms

We may modify these Terms from time to time. The most current version will be posted at this URL with an updated "Last Updated" date. Material changes will be communicated through reasonable means (such as email or in-app notification). Your continued use of the Service after changes take effect constitutes your acceptance of the modified Terms.

20. Miscellaneous

Entire Agreement. These Terms (together with our Privacy Policy) constitute the entire agreement between you and TournyFlex regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor entity (for example, in connection with a merger, acquisition, or sale of assets).

Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.

No Agency. No agency, partnership, joint venture, or employment relationship is created by these Terms.

21. TournyFlex-Specific Provisions

21.1 TournyFlex Index Disclaimer. The "TournyFlex Index" displayed in the Service is a calculated metric based on rounds you and other users enter. It is an UNOFFICIAL handicap-style figure and is not affiliated with, licensed by, or recognized by the United States Golf Association (USGA), the World Handicap System (WHS), or any official handicapping authority. The Index is provided for analysis and recreational comparison only. You may not represent the TournyFlex Index as an official handicap in any context where an official handicap is required.

21.2 No Wagering or Money Handling. Although the Service collects payments for subscriptions, event organizer fees, and advertising, TournyFlex does NOT process, hold, escrow, or settle wagering funds between users. Side games, betting calculators, and similar features within the Service are analysis-only tools. Any financial settlement between users for wagers is solely between those users, conducted outside of and without facilitation by TournyFlex. You agree not to use the Service to facilitate, settle, or process wagering or gambling funds between users.

21.3 Course Data Restrictions. Course information (names, par values, slope ratings, hole layouts) is provided through third-party data sources under license. You may not extract, scrape, resell, or redistribute course data obtained through the Service outside of personal use. Per-user course data is retained for a maximum of one (1) year from your last interaction with that course.

21.4 Founding-Tester Credits. Credits earned through the founding-tester program (2026 season) are non-transferable, redeemable only against individual subscription charges, and expire December 31, 2027 regardless of redemption status. Founding-tester credits do not apply to event organizer fees, advertising charges, or any other non-subscription fees.

21.5 Map Services. Portions of the Service display interactive maps and satellite imagery provided by third-party map providers. The web and progressive web app versions of the Service use Mapbox; your use of those map features is also subject to the Mapbox Terms of Service and the Mapbox Privacy Policy. Native mobile app versions of the Service may use the Google Maps Platform; where they do, your use of those map features is also subject to the Google Maps Platform Terms of Service and the Google Privacy Policy. The applicable provider's terms are incorporated by reference, and attribution displayed on the map may not be removed or obscured.

21.6 SMS Program Terms.

Program name: TournyFlex SMS Notifications.

Description: Three categories of SMS messages may be sent:

  1. One-time verification codes — required for account sign-in. Sent only when you initiate a sign-in attempt.
  2. Account notifications — round invitations from other TournyFlex users, score attestation requests, side-game invitations, and round reminders. Triggered by activity in your account or by another user adding you to a round.
  3. Marketing messages — occasional product updates and engagement messages, sent only to users who explicitly opt in via a checkbox during signup or in account settings.

Opt-in. You opt in to categories 1 and 2 by creating a TournyFlex account and providing your phone number. You opt in to category 3 by checking the marketing box during signup or at any later time in your account settings. A registered TournyFlex user may also add you to a round by entering your phone number; in that case the user attests that you have granted them permission to receive one invite SMS from TournyFlex on their behalf.

Message frequency. Account notifications are event-driven, typically 1–5 messages per week. Marketing messages are sent no more than twice per calendar month. Verification codes are sent only when you initiate sign-in.

Message and data rates. Message and data rates may apply. Contact your mobile carrier for details.

Opt-out. Reply STOP to any TournyFlex message to opt out of all future non-verification SMS. You will receive a single confirmation and no further messages. You may also opt out at any time via your account settings.

Support. Reply HELP to any TournyFlex message for support information, or contact us at admin@tournyflex.com.

Supported carriers. Message delivery depends on your mobile carrier. Not all carriers may be supported. Carriers are not liable for delayed or undelivered messages.

No sharing. We do not share your phone number, opt-in status, or SMS opt-in data with third parties for their marketing purposes.

21.7 App Store Distribution. The Service may be distributed through third-party app marketplaces, including the Apple App Store and Google Play (each, an "App Store"). If you download or use the Service through an App Store, the App Store's own terms also apply to you, along with the following:

  • Purchases and billing. Purchases made through an App Store (including subscriptions and in-app purchases) are billed and processed by the App Store provider, not by TournyFlex, and are subject to that App Store's payment, cancellation, and refund policies. You must manage or cancel App Store subscriptions through your App Store account settings, and refunds for App Store purchases must be requested from the App Store provider. Prices for the same subscription or feature may differ between an App Store and our website, including due to marketplace fees charged by the App Store provider.
  • Relationship. These Terms are between you and TournyFlex LLC only — not with Apple Inc. or Google LLC. Apple and Google are not responsible for the Service or its content, have no obligation to furnish maintenance or support for it, and are not responsible for addressing any claims relating to the Service, including product liability claims, legal or regulatory compliance claims, and intellectual property claims.
  • Apple-specific terms. If you access the Service through an app obtained from the Apple App Store: (a) the license in Section 7 is limited to a non-transferable license to use the app on Apple-branded devices that you own or control, as permitted by the App Store's Usage Rules; (b) in the event the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app (if any) to you — to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app; and (c) Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the app, and upon your acceptance of these Terms, Apple has the right to enforce them against you as a third-party beneficiary.
